Am Max-Planck-Institut für Gesellschaftsforschung befassen sich mehrere Forschungsprojekte mit Aspekten der Unternehmenskontrolle in Deutschland. Das gemeinsame Erkenntnisinteresse der Projekte zielt auf die Klärung des Zusammenhangs zwischen der Corporate Governance von Großunternehmen und dem konsensuellen System der industriellen Beziehungen. Die Studien deuten darauf hin, dass hinsichtlich der Aktionärsorientierung, der Managementzusammensetzung, der Entflechtung der Deutschland AG, der Verteilung der Wertschöpfung und der Fokussierung der Geschäftstätigkeit eine deutliche Annäherung an das für angloamerikanische Länder geltende Muster der Unternehmenskontrolle zu beobachten ist, wobei diese Veränderungen vor dem Hintergrund einer fortgesetzten, wenn auch teilweise re-arrangierten, Interaktion mit den Arbeitnehmervertretungen stattfinden.
要旨:
Several research projects at the Max Planck Institute for the Study of Societies deal with aspects of corporate governance in Germany. The common theoretical aim of the projects is to clarify the connection between the corporate governance of large companies and the consensual system of industrial relations. The studies indicate that with regard to such issues as the orientation towards the stockholder, management composition, the breaking up of the Germany AG, the distribution of the net value added and the focus of business activity, a clear convergence with the model of corporate governance found in Anglo-American countries can be observed. These changes are accompanied by continued, but slightly rearranged, interaction with employee representatives.
