要旨

Die Haftung von Geschäftsführern gegenüber ihrer Gesellschaft bewegt sich im Spannungsfeld von Vertrag, Delikt und gesellschaftsrechtlichem Organverhältnis. Die Holterman Ferho-Entscheidung des EuGH ermöglicht eine erste Positionsbestimmung der Geschäftsführerhaftung im Zuständigkeits- und Kollisionsrecht der EU.

Directors’ liability is caught between company law, and contractual and non-contractual obligations. In its Holterman Ferho decision, the ECJ locates directors’ liability within EU private international law.
